1. Acceptance of Terms

By purchasing or using MainBot Automation services, you agree to be legally bound by these Terms and Conditions. If you do not agree, you must not use our services. We may update these Terms at any time without prior notice. Continued use of our services indicates your acceptance of any updated Terms.

2. Scope of Services

MainBot Automation provides one-time-payment automation setup services, including but not limited to:

  • AI chatbot integration

  • Lead generation and intake automation

  • Email parsing and Google Sheets logging

  • CRM/workflow setups using third-party platforms like Zapier, Make.com, Google Workspace, OpenAI, Airtable, etc.

Note: We do not provide ongoing support unless explicitly stated in writing. Any additional work or support outside the original scope will require a new agreement and fee.

We reserve the right to modify, update, or discontinue features or services at any time without liability.

3. Client Responsibilities

Clients are responsible for:

  • Providing accurate information needed to complete the automation setup

  • Ensuring access to required platforms (Gmail, Google Sheets, Zapier, etc.), unless otherwise agreed upon

  • Maintaining their own third-party accounts and subscriptions (Zapier, OpenAI, Twilio, etc.), unless otherwise agreed upon

  • Ensuring their usage complies with all platform terms (e.g., OpenAI, Zapier, Twilio, etc.)

4. Data, Cookies & Privacy

We may use cookies and collect non-personal data solely for service delivery and performance tracking. We adhere to the Personal Information Protection and Electronic Documents Act (PIPEDA). For full details, refer to our Privacy Policy. We do not store passwords or confidential data outside of authorized workflows.

5. Deliverables and Ownership

  • Clients receive full access to automation workflows built on their accounts

  • We may use templates, code snippets, or proprietary workflows — these remain our intellectual property unless explicitly transferred in writing

  • You own your data, accounts, and control panel access

  • We reserve the right to reference completed work anonymously for portfolio or demonstration purposes unless you request confidentiality in writing

6. Payment Terms

  • All services are billed as one-time payments

  • Payment is due upfront unless otherwise stated

  • No refunds will be issued once work has commenced, unless we fail to deliver the agreed scope

  • Delayed payments may result in suspension of service delivery and forfeiture of scheduling priority

7. Confidentiality

We agree to keep your business data, leads, credentials, and proprietary strategies confidential and secure. Likewise, you agree not to disclose any of our proprietary tools, strategies, or workflows to third parties without written consent.

Both parties shall take all reasonable precautions to safeguard confidential information.

8. Fair Use & Conduct

Clients agree not to:

  • Use our services for any unlawful or unauthorized activities

  • Overload third-party APIs or services beyond normal usage limits

  • Attempt to reverse-engineer, copy, or clone our proprietary automation flows or tools

Violation of this section may result in immediate termination of service.

9. Third-Party Services & Limitations

We may integrate your account with third-party services (e.g., OpenAI, Zapier, Twilio, N8N). MainBot Automation is not responsible for:

  • Subscription charges, API limits, or overages on these platforms

  • Data loss, failed executions, or service interruptions from third parties

  • Compliance with third-party TOS, which remains your responsibility

10. Compliance & Legal Use

You are solely responsible for ensuring your automations comply with laws such as:

  • GDPR

  • CAN-SPAM

  • TCPA

  • CASL

  • PIPEDA

  • Other local regulations involving data handling, SMS/email communication, and consent

We provide the tools; how they are used is up to the client.

11. Limitation of Liability

To the fullest extent permitted by law, MainBot Automation shall not be liable for:

  • Damages, lost profits, or incidental losses from use of services

  • Third-party platform failures or billing errors

  • Unauthorized access resulting from weak security practices by the client

  • Regulatory or compliance violations from misuse of automation tools

Our maximum liability is limited to the amount paid by you for services.

12. No Guarantee of Outcome

Automation is designed to improve business efficiency, but we do not guarantee:

  • Specific business results, such as leads or revenue

  • Any particular output from third-party AI models

  • That your automations will remain effective without maintenance

13. Termination of Services

We reserve the right to decline or terminate a project if:

  • The client is abusive, uncooperative, or deceptive

  • Required tools are inaccessible or credentials are revoked

  • Payment terms are not met

Terminated projects will be billed for time and work already completed.

14. Arbitration & Dispute Resolution

Any disputes arising from these Terms shall be resolved exclusively by binding arbitration, unless prohibited by law. This includes but is not limited to disagreements over pricing, service scope, or tool performance.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
